Terms and Conditions

These Terms and Conditions (“Agreement”) govern your access to and use of Tracellent (“Application”) provided by Tracellent (“Company,” “we,” or “us”). By accessing or using the Application, you (“User” or “you”) agree to be bound by these terms.

1. Acceptance of Terms

By accessing and using the Tracellent application, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must discontinue use of the Application immediately. Tracellent reserves the right to update or modify these terms at any time without prior notice. Your continued use of the Application after any changes constitutes your acceptance of the revised terms.

2. Risks Associated with Use

Your use of the Tracellent application is at your sole risk. The Application is provided on an “as is” and “as available” basis. Tracellent makes no warranties, expressed or implied, regarding the operation or availability of the Application. Specifically:

  • Interruptions: The Application may experience downtime, interruptions, or errors beyond our control, including due to internet connectivity, device compatibility, or third-party service interruptions.
  • Data Accuracy: While we strive to provide accurate data, fleet tracking and telematics data may be subject to delays, inaccuracies, or technical limitations.
  • Third-Party Dependencies:Tracellent relies on third-party services including mapping, connectivity, and IoT providers. We are not responsible for disruptions caused by these dependencies.

3. Prohibited Activities

Users of the Tracellent application are strictly prohibited from engaging in the following activities:

Promotion Blasting

Users must not use the Tracellent platform to send unsolicited bulk communications, spam messages, or promotional blasts to other users or third parties. Any use of the Application for mass marketing without explicit consent is prohibited and may result in immediate account termination.

Violation of Third-Party Policies

Users must comply with all applicable third-party terms of service, policies, and regulations when using Tracellent in conjunction with third-party integrations, APIs, or services. Any activity that violates the terms of third-party providers, including but not limited to mapping services, telecommunications providers, or IoT platforms, is strictly prohibited.

Other Prohibited Uses

  • Attempting to reverse engineer, decompile, or disassemble any portion of the Application.
  • Unauthorised access to other users’ accounts, data, or private information.
  • Using the Application for illegal surveillance or privacy violations.
  • Introducing malware, viruses, or any harmful code into the Application or its infrastructure.

4. Indemnification

You agree to indemnify, defend, and hold harmless Tracellent, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Application; (b) your violation of these Terms and Conditions; (c) your violation of any rights of a third party, including intellectual property, privacy, or proprietary rights; or (d) any claim that your use of the Application caused damage to a third party.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Tracellent and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities.
  • Loss of data or data corruption.
  • Business interruption or operational downtime.
  • Any damages resulting from unauthorised access to or use of our servers or any personal information stored therein.

In no event shall Tracellent’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Application in the twelve (12) months prior to the claim.

6. Privacy

Your use of the Tracellent application is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By using the Application, you consent to the collection and use of your information as described in the Privacy Policy. We encourage you to review the Privacy Policy periodically to stay informed about how we protect your personal data.

7. Termination

Tracellent reserves the right to suspend or terminate your access to the Application at any time, with or without notice, for conduct that we believe:

  • Violates these Terms and Conditions or other applicable agreements or guidelines.
  • Is harmful to other users, third parties, or Tracellent’s interests.
  • Involves fraudulent, deceptive, or illegal activities.
  • Otherwise poses a risk to the security or integrity of the Application or its users.

Upon termination, your right to use the Application will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, disclaimers, indemnity, and limitations of liability.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia. You agree to submit to the personal and exclusive jurisdiction of such courts for the purpose of litigating any such dispute.
